Framework

The Board is undertaking a full review of the governance framework within the Consmin Group.

Management structure

The Company is managed by the Board of Directors, which is made up of two executive and three non-executive directors.

The Board is supported by the Group Executive Committee (GEC) and which is make up of the Company’s senior management team. The GEC is responsible for the operational management of the Group and its members are:

• Group Chief Executive Officer
• Group Chief Financial Officer
• Managing Director: Sales and Marketing
• Managing Director: Australia
• Managing Director: Ghana
• CEO, Metals Solutions

Board Committees

The governance review is expected to lead to the establishment of four standing committees which will support the Board with their responsibilities, as set out in the Schedule of Matters Reserved for the Board. The four committees will have clear terms of reference to ensure the appropriate oversight of policy and governance.

The committees, which will report directly to the Board, will be:

• Audit and Risk Committee
• Nominations Committee
• Remuneration Committee
• Sustainable Development Committee
